PALLADION PROLEARN may develop its content, add resources, reorganise some modules or improve the tools. Such changes do not reduce the rights acquired by the customer under the purchased offer.

5. Prices

Prices are stated in euros, including VAT, unless otherwise stated. They do not include any bank fees, exchange fees or commissions charged by the customer's bank or payment provider.

PALLADION PROLEARN may change its prices at any time. The applicable prices are those displayed on the website when the order is confirmed.

6. Ordering

The customer selects the desired offer, enters the information required for invoicing and access to the services, then confirms the order.

Confirming the order constitutes:

  • express acceptance of these Terms;
  • acceptance of the price and chosen payment terms;
  • acknowledgement of the digital nature of the content;
  • authorisation to collect instalments, where the customer chooses to pay in instalments.

The customer receives an order confirmation by email at the address provided when ordering.

7. Payment

Payment can be made by bank card via Stripe, by PayPal or by any other payment method offered on the order page.

Payments are secured by the relevant payment providers. PALLADION PROLEARN does not have access to the customer's full bank details and does not store them on its servers.

7.1 One-off payment

The customer can pay the full price at once:

By choosing payment in instalments, the customer expressly authorises PALLADION PROLEARN, or its payment provider, to automatically collect the instalments using the payment method used when ordering.

Payment in instalments is a payment facility, not a subscription that can be cancelled at any time. The customer remains liable for the full price of the chosen offer, even if they stop using the content or coaching.

7.3 Receipts and invoices

After a successful payment, the customer may automatically receive a receipt by email, provided this feature is enabled by PALLADION PROLEARN in its Stripe account.

When invoice creation is enabled for the offer, the customer also receives an email with a link to download their invoice as a PDF.

For payment in instalments, a receipt may be issued for each instalment successfully paid.

7.4 Unpaid amounts

If a payment fails, PALLADION PROLEARN will send the customer a reminder so that the situation can be settled within 7 calendar days.

Failing settlement within this period, PALLADION PROLEARN may:

  • suspend access to the content, customer area and coaching;
  • charge a handling fee of €15 per unpaid instalment;
  • demand immediate payment of the full outstanding balance;
  • assign collection to a specialised provider, any costs being borne by the customer;
  • terminate access to the offer in case of persistent default, without refund of sums already paid.

For professional customers, any late payment may give rise to interest at the legal rate in force and a fixed collection fee of €40, in accordance with Article L441-10 of the French Commercial Code.

8. Access to content and services

Once payment is confirmed, the customer receives by email their login details or an access link to their customer area.

Access to the content is strictly personal, nominative and non-transferable. The customer undertakes not to share their login details with third parties.

8.1 E-Learning plan

The E-Learning plan gives lifetime access to the digital training content, in the version available at the time of purchase.

PALLADION PROLEARN may update, develop or remove obsolete content, while maintaining sufficient access to the essential training content.

8.2 Elite Coaching plan

The Elite Coaching plan includes the training content and personalised coaching as described on the sales page.

The coaching is valid for 6 months from the date the offer is activated.

The customer undertakes to:

  • schedule their meetings within the timeframes given by PALLADION PROLEARN;
  • notify PALLADION PROLEARN at least 24 hours before a meeting in case of cancellation or rescheduling;
  • attend the agreed meetings;
  • provide the information and documents needed for the coaching to run smoothly.

Any session cancelled less than 24 hours before the meeting, or any unjustified absence, will be considered delivered and can be neither rescheduled nor refunded.

Sessions not scheduled or not used by the end of the 6-month coaching period are permanently lost, unless PALLADION PROLEARN agrees otherwise in writing beforehand.

9. Right of withdrawal

9.1 Consumer customers

In accordance with Articles L221-18 et seq. of the French Consumer Code, consumer customers have 14 days from the conclusion of the contract to exercise their right of withdrawal, without giving reasons or paying penalties.

9.2 Immediate performance and waiver of withdrawal

For digital content, the customer may request immediate access to the training before the withdrawal period expires.

In that case, the customer expressly acknowledges:

  • having requested immediate delivery of or access to the digital content;
  • having been informed that this request results in the loss of their right of withdrawal once the content is digitally accessible;
  • expressly waiving their right of withdrawal.

This waiver is collected through a separate checkbox during the ordering process, in particular on the Stripe payment page, or by any other means providing clear proof of the customer's consent.

9.3 Exercising the right of withdrawal

To exercise their right of withdrawal, the consumer customer must notify PALLADION PROLEARN of their decision before the 14-day period expires, by email to palladioncontact@gmail.com, or via the withdrawal form available on the website.

For payment in instalments, only the amounts already paid are refunded. Future payments are cancelled.

9.5 Professional customers

The right of withdrawal under the French Consumer Code does not apply to professional customers. Any cancellation or refund request from a professional customer will be reviewed case by case and may only be refunded with the express written agreement of PALLADION PROLEARN.

11. Intellectual property

All elements offered by FreelanceLab — texts, videos, training, modules, documents, templates, simulators, tools, interfaces, logos, graphics, databases and software — are protected by intellectual property law.

Any reproduction, representation, adaptation, translation, extraction, distribution or use, in whole or in part, without the prior written permission of PALLADION PROLEARN is prohibited.

The customer is granted a personal, non-exclusive, non-transferable right of use limited to the access period of the purchased offer.

12. Liability

FreelanceLab provides content and coaching for educational, informational and practical purposes. The website's simulators provide educational estimates from the information entered by the user and do not replace personalised advice.

Results depend in particular on the customer's personal, professional and financial situation, their commitment, how they apply the advice, economic conditions and external factors beyond the control of PALLADION PROLEARN.

PALLADION PROLEARN therefore does not guarantee any specific commercial, financial, legal, tax or professional result.

The information provided does not constitute personalised legal, tax, accounting, financial or investment advice. The customer remains solely responsible for their decisions and should consult a qualified professional where necessary.

PALLADION PROLEARN can only be held liable for a direct, personal and proven fault. Its liability is limited to the amount actually paid by the customer for the offer concerned.

13. Force majeure

PALLADION PROLEARN cannot be held liable for failing to meet its obligations due to force majeure within the meaning of Article 1218 of the French Civil Code.

Force majeure includes, without limitation: strikes, major failure of a provider, cyberattacks, natural disasters, administrative decisions, epidemics, war or serious public disorder.

In case of force majeure, suspended obligations resume as soon as the event ends. If it lasts more than 60 days, either party may terminate the contract without compensation.

14. Termination

PALLADION PROLEARN may terminate the customer's access automatically, without compensation, in case of:

  • breach of these Terms;
  • infringement of intellectual property rights;
  • persistent non-payment after a formal notice has gone unanswered;
  • abusive, insulting or discriminatory behaviour, or behaviour contrary to the spirit of the coaching.

In case of termination due to the customer's fault, sums already paid remain with PALLADION PROLEARN and any outstanding balance becomes immediately payable.

15. Personal data

The customer has the right to access, rectify, erase, restrict, object to and port their data. These rights can be exercised at palladioncontact@gmail.com.

The customer may also lodge a complaint with the CNIL (French data protection authority): https://www.cnil.fr.

16. Consumer mediation

In accordance with Articles L611-1 et seq. of the French Consumer Code, consumer customers may use a consumer mediator free of charge in case of a dispute not settled amicably with PALLADION PROLEARN.
